BetterWorks Inc. is a service provider that connects its corporate members ("Corporate Members") and Corporate Members' employees and certain other individuals ("Individual Members" and, together with Corporate Members, "Members") to deals offered by vendors ("Vendors") for a variety services and products ("Goods") through its website located at www.BetterWorks.com (the "Website").

This Privacy Policy discloses the privacy practices for the Website. BetterWorks Inc., a Delaware corporation and the provider of the Website ("BetterWorks", "us", "we" or "our"), is committed to protecting your privacy online. Please read the following to learn what information we collect from Members and Vendors ("you" or "user") and how we use that information. BY ACCESSING OR USING BETTERWORKS' SERVICES AND THE BETTERWORKS WEBSITE (INCLUDING ANY CONTENT POSTED ON THE WEBSITE), YOU SIGNIFY YOUR ACCEPTANCE OF BETTERWORKS' TERMS OF USE, INCLUDING THIS PRIVACY POLICY. CHANGES TO OUR PRIVACY POLICY

BetterWorks may, in its sole discretion, modify or revise this Privacy Policy at any time by posting the amended terms on this Website. The revised Privacy Policy is effective immediately when posted on the Website. It is the responsibility of each User to review the Website and the Privacy Policy periodically to learn of any revisions to this Privacy Policy. Your continued use of the Website after the effectiveness of such revisions will constitute your acknowledgment and acceptance of the terms of the revised Privacy Policy.

TYPES AND USES OF INFORMATION COLLECTED

BetterWorks collects two types of information from our Users: (i) Personally Identifiable Information; and (ii) Non-Personally Identifiable Information. Each of the foregoing types of information is described below.

Personally Identifiable Information

Personally Identifiable Information is information that identifies a specific User. When you engage in certain activities on the Website, including, but not limited to, creating a Corporate Member, Individual Member or Vendor account, registering with us, ordering Goods or other services or products from Vendors, ordering services or products from us, submitting content, submitting photos, posting content, posting a review, sending us or Vendors feedback, requesting information about our services, or entering into a Vendor agreement, we may ask you to provide certain personal information about yourself, including but not limited to, your first and last name, mailing address (including zip code), email address, telephone number, date of birth and gender.

When you order Goods, we will ask you to provide us with your credit card (e.g., credit card number, expiration date and authentication codes) or other payment method information, or related information. Depending on the activity, some of the information we ask you to provide is identified as mandatory and some is identified as voluntary. If you do not provide the mandatory information for a particular activity that requires it, you will not be permitted to engage in that activity.

We use Personally Identifiable Information to provide Goods and other services or products to you, enhance the operation of the Website, improve our marketing and promotional efforts, analyze Website use, determine the popularity of Goods or other services or products, improve our service and product offerings and to tailor your experience with third parties.

Corporate Members will be able to invite employees to register with the Website by emailing a link to the Website to employees inviting each employee to register. Alternatively, the Corporate Member can provide the names and email addresses of the employees to BetterWorks and BetterWorks will send out an email invitation to the employees to invite them to register with the Website.

If you choose to use our referral service to tell a spouse, family member or friend about the Website, we will ask you for your spouse, family member or friend's name and email address or other online contact information. You may also refer the Website to your spouse, family member or friend through social networks, such as Facebook. We will send your spouse, family member or friend emails or other online messages inviting him or her to visit the Website. We will store this information for the sole purpose of sending the invitation and tracking the success of our referral program.

To send information to another person, we may store your personal information and the personal information of any recipient. We may use that other person's contact information to allow him or her to access the information you requested we send.

We may also use Personally Identifiable Information to troubleshoot, resolve disputes, accomplish administrative tasks, contact you, enforce our agreements with you, including our Website Terms of Use and this Privacy Policy, comply with applicable law and cooperate with law enforcement activities.

We may also store Individual Members' Personally Identifiable Information that -their Corporate Member has chosen to store on our system. Our service is used by Corporate Members to provide, manage and measure services provided to Individual Members and as a result Corporate Members may store identifying information about Individual Members in our system. If required by company policy or law, Corporate Members may need to retain this information even after Individual Members leave our system.

Non-Personally Identifiable Information

Non-Personally Identifiable Information is information that does not identify a specific user. This type of information may include things like the Uniform Resource Locator ("URL") of the website you visited before coming to our Website, the URL of the website you visit after leaving our Website, the type of browser you are using and your Internet Protocol address. We, and/or our authorized third party service providers and advertisers, may automatically collect this information when you visit our Website through the use of electronic tools like Cookies and Web beacons or Pixel tags.

We use Non-Personally Identifiable Information to troubleshoot, administer the Website, analyze trends, gather demographic information, comply with applicable law and cooperate with law enforcement activities. We may also share this information with our authorized third party service providers and advertisers to measure the overall effectiveness of our online advertising, content and programming.

Sharing your Information with Vendors

We may share your Personally Identifiable Information and your purchasing preferences with Vendors who, as part of the offer, request information on BetterWorks customers who purchased the offer. Sharing this Information will allow a Vendor to market directly to you should they choose to do so. However, we will only share Personally Identifiable Information with a Vendor if you choose to purchase a Good from such Vendor, and then only to the Vendor offering that Good. Our agreement with Vendors specify that they are only permitted to use your Personally Identifiably Information and communicate with you in connection with Goods purchased by you. We will notify you when we provide Vendors with your Personally Identifiably Information. The actions of Vendors are not in our control and, notwithstanding anything herein to the contrary, we do not have any responsibility for the actions of the Vendor.

Sharing your Information with Authorized Third Party Service Providers

We may use third parties to perform certain functions on our behalf, such as processing credit card payments, providing customer service, analyze data and handling certain marketing functions. We may share your Personally Identifiable Information with such Service Providers fulfill such functions. We encourage our Vendors and third party service providers to adopt and post privacy policies. However, the use of your Personally Identifiable Information by Vendors and third party service providers is governed by the privacy policies of such respective parties and is not subject to our control.

Sharing your Information Due to a Change in Control

As with any other business, BetterWorks could merge with or be acquired by another company, sell all or substantially all of its assets or a line of business, or undergo a similar event. BetterWorks has the right to assign the information it maintains to one or more affiliates or to one or more successors or affiliates in connection with a restructuring, reorganization, merger, acquisition or other change of control of BetterWorks, the sale of all or substantially all of BetterWorks' assets, as well as in the unlikely event of BetterWorks' insolvency, bankruptcy or receivership However, Personally Identifiable Information will remain subject to this Privacy Policy. BetterWorks will notify users of the Website of such an occurrence by posting a notice on the Website and emailing to the address you have provided us.

Sharing your Information for BetterWorks' Protection and for the Protection of Others

We may also disclose Personally Identifiable Information when we believe release is appropriate to comply with the law or a court order; enforce or apply this Privacy Policy, our Website Terms of Service or other agreements. Additionally, we may also disclose Personally Identifiable Information or protect the rights, property or safety of the Website, its Users or others in situations that we believe involve potential threats to the physical safety of any person or property, if we believe that your information in any way relates to that threat.

RELEASE AND SHARING OF NON-PERSONALLY IDENTIFIABLE INFORMATION

We may disclose or share Non-Personally Identifiable Information with Vendors, advertisers and other individuals and companies with whom we have business relationships. For instance, we may share aggregated demographic information (which does not include any Personally Identifiable Information) with third party advertisers or third party advertising companies and other parties as provided below:

We may use third party advertising companies to serve ads when you visit our Website. These companies may use Non-Personally Identifiable Information about your visits to our and other websites in order to provide advertisements about goods and services that may be of interest to you.

We also use third party service providers to track and analyze Non-Personally Identifiable usage and volume statistical information from our users to administer our Website and constantly improve its quality. UPDATING AND CORRECTING YOUR PERSONALLY IDENTIFIABLE INFORMATION

We believe that you should have the ability to access and edit the Personally Identifiable Information you provide us. You may change any of your Personally Identifiable Information by updating your account. You agree to maintain accurate contact information and to promptly update your Personally Identifiable Information if it changes. You may ask to have the information on your account deleted or removed; however, because we keep track of past transactions, you cannot delete information associated with past transactions on the Website. In addition, it may be impossible for us to completely delete all of your information because we periodically backup information.

USER CHOICES REGARDING THE COLLECTION AND USE OF INFORMATION
Opting out of Administrative Emails

As a condition of purchase of our products and services, we will send you Administrative Emails. We will send you information regarding your account activity and purchases. You cannot opt-out of Administrative Emails. Administrative Emails are emails relate to a User's activity on the Website, and includes emails regarding a particular User's account, requests or inquiries, and purchases of Goods and products and services.

Opting out of Promotional Emails

As a condition of purchase of our products and services, we will also send you emails containing information regarding updates about our products and promotional offers ("Promotional Emails"). In contrast to Administrative Emails, however, you do have a choice with respect to Promotional Emails. Promotional Emails advertise our products and services, including exclusive sales and other offers, and/or the products and services of our advertisers and affiliates. In certain instances, we may offer (through Vendors) or sell Goods or others services or products suitable for children for purchase by adults.

PUBLIC AREAS AND THIRD PARTY POSTINGS

We may provide areas on our Website where you can publicly post information about yourself, can communicate with others, or can review products and services and submit media content. This information may be accessible by other Users and companies and may appear on other websites or web searches, and therefore this information could be read, collected and used by others. We do not control or endorse the content, messages or information posted by third party users. We will not be liable for the privacy of any of your or any other third party postings to the Website and specifically disclaim any liability resulting from such postings and communications, including any objectionable content.
